If, during a collision check, the system detects that the IP has rights owned granting references to multiple license acquisition contracts, you are prompted to select the specific license acquisition contract with which the IP rights in the license sales contract should associate.

This can occur for any type of IP whose rights owned have a granting reference to multiple license acquisition contracts:

  • Top-level IPs

  • Subordinate IPs that have an Underlying Component (Granting Ref.) relationship with superordinate IPs

About Granting References

A granting reference associates an IP’s rights owned with the license acquisition contract used to acquire them. This type of association is relevant when you wish to sell the rights to this IP (by way of a license sales contract) since you might be required to pay royalties to the original licensor based on royalties that you receive from your licensees.

Rights Owned that have a granting reference to a license acquisition contract are displayed in the Rights Owned (Granting Ref.) assignment block of the IP.

Features

The extended collision check features a wizard that displays an overview screen indicating the following information:

  • Status of the availability of license acquisition contracts to assign

  • Work list, displaying the IPs whose rights need to be assigned (also called open rights)

Description

Available

The system (or user) has assigned an acquisition contract for all rights sold.

This status occurs when you have successfully assigned all open rights to a license acquisition contract.

Available, Unassigned

Several possible license acquisition contracts with the corresponding rights are available for assignment. You need to assign the open rights (that is the rights that are not assigned) to one of these contracts.

Missing

License acquisition contracts with the corresponding rights are not available for assignment. This can occur when the license sales contract contains IP rights that:

  • You do not own or are not released for sales

  • You do own, but have already been assigned to rights in other sales contracts

  • You do own, but not in the required number of transmissions specified in the sales contract

You can use the BAdI CRM_IPM_RGHT_AVAIL_CHECK to change the calculation of the available rights in the extended collision check.

Activities

Assign Acquisition Contracts

  1. In the work list, select a row corresponding to an IP with open rights (Status Available, Unassigned).

  2. Select Assign Acquisition Contracts.

  3. In the following screen, in the Available Acquisition Contracts pane, select the license acquisition contract to assign.

  4. Select Back to return to the overview screen.

In response, the system:.

  • Assigns the acquisition contracts to the open rights in the license sales contract

  • Creates sub-items in the license sales contract that identify the acquisition contract from where the rights were assigned

  • Removes the newly-assigned rights from the available rights, so that overlapping acquired rights cannot be consumed more than once

Assignment of Acquisition Contracts for Sub-IPs Linked to the IP Through the Underlying Component (Granting Reference) Relationship

If the system detects that the IP whose rights are being sold has an underlying component (granting reference) relationship with a sub-IP, the system automatically adds the sub-IP to the license sales contract, allowing you to see it in the contract overview.

The collision check completes successfully when the open rights have all been assigned.

Unassign Acquisition Contracts

  1. In the work list, select a row corresponding to an IP with assigned rights.

  2. Select Unassign Acquisition Contracts.

View Acquisition Contracts Assigned to the Rights of an Intellectual Property

  1. In the work list, select a row corresponding to an IP with assigned rights.

  2. Select Show Assigned Acquisition Contracts.
